Terms of Service
These Terms of Service (the "Terms") are a binding agreement between you and Licklider SpA, a company organized under the laws of Chile ("Licklider," "we," "us," or "our"), and govern your access to and use of Greentest, including the web application at app.greentest.ai, the website at greentest.ai, the Greentest API, CI/CD integrations, MCP server, E2E runner, Greentest Recorder browser extension, documentation, and related services (collectively, the "Services").
1. Acceptance of these Terms
By creating an account, clicking to accept, or accessing or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services. If your organization has signed a separate written agreement or order form with Licklider, that agreement prevails over these Terms to the extent of any conflict.
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business and professional use and not for personal, family or household purposes.
2. The Services
Greentest is a test-management platform that lets organizations plan and run manual tests, execute API tests (RestBench), author and run end-to-end browser tests with Playwright, ingest automated test results (such as CTRF and JUnit reports), run user-acceptance testing with guest testers, manage work with optional Scrum/Kanban modules, and use optional AI-assisted features. We may update, improve or modify the Services from time to time. We will not materially reduce the core functionality of paid Services during a paid subscription term without notice.
3. Accounts and organizations
- Registration. You must provide accurate and complete information and keep it up to date. You may sign up with an email and password or with Sign in with Google.
- Security. You are responsible for safeguarding your password, API tokens, personal access tokens, runner tokens and guest links, and for all activity under your account. Notify us promptly at security@greentest.ai of any unauthorized use.
- Organizations and roles. Content in Greentest belongs to an organization. The organization's owner controls the organization, its modules and its deletion; admins may manage members, integrations, tokens, webhooks and runners; members work within the projects and teams they can access. Customer is responsible for the users it invites, the roles it assigns, and their compliance with these Terms.
- Guest links. Members may share time-limited guest links that let people without an account execute a test cycle. Customer is responsible for whom it shares guest links with and for the guests' activity.
4. Customer Content
- Ownership. As between you and Licklider, Customer retains all rights in the data, files, test cases, results, evidence, code, collections and other content submitted to the Services ("Customer Content").
- License to us. Customer grants Licklider a worldwide, non-exclusive, royalty-free license to host, copy, process, transmit and display Customer Content solely to provide, secure and support the Services, as described in our Privacy Policy, and as required by law.
- Your responsibilities. You represent that you have all rights, consents and notices necessary to submit Customer Content and to have us process it, including any personal information contained in screenshots, videos, test data or API responses. Avoid uploading sensitive personal information (such as government identifiers, payment card data or health information) unless strictly necessary, and use test or anonymized data where possible.
- Secrets. Store credentials only in the features designed for them (environment secrets, the E2E vault, or runner variables). We are not responsible for secrets placed in plain-text fields, test code, comments or files.
- Aggregated data. We may use de-identified and aggregated data about use of the Services, which does not identify Customer or any individual, to operate and improve the Services.
5. Acceptable use
You will not, and will not allow anyone to:
- use the Services in violation of any law or regulation, or to infringe or misappropriate the rights of others;
- upload malware or content that is unlawful, defamatory, harassing or obscene;
- attempt to access accounts, organizations or data that you are not authorized to access, or circumvent organization isolation, access controls, rate limits or quotas;
- probe, scan or test the vulnerability of the Services themselves, except through a coordinated disclosure with us at security@greentest.ai;
- interfere with or disrupt the integrity or performance of the Services, or impose an unreasonable load on our infrastructure;
- reverse engineer, decompile or disassemble the Services, except to the extent this restriction is prohibited by law;
- resell, sublicense or provide the Services to third parties as a service bureau, or use them to build a competing product; or
- use automated means to access the Services other than through our documented API, MCP server, runner, extension and integrations.
6. Authorized testing only
RestBench API requests, API test cycles, and E2E runs send real requests to the systems you target. You may only target systems that you own or are expressly authorized to test. You must not use the Services to conduct load, stress or denial-of-service testing; security or penetration testing of third parties without written authorization; credential stuffing; scraping in violation of a site's terms; or requests to internal, private or cloud metadata networks. You are solely responsible for the requests you configure and their effects on the target systems, and for complying with the terms of any third-party system you test. We may block destinations or requests to protect the Services or third parties.
7. AI features
- Optional AI features (such as spreadsheet import, test plan generation and failure analysis) are powered by third-party model providers as described in the Privacy Policy. Customer Content sent to those features is used only to produce the requested output and is not used to train AI models.
- AI output may be inaccurate, incomplete or inappropriate. You are responsible for reviewing AI output before using or relying on it. AI output does not constitute professional advice and does not replace your own testing judgment.
- Subject to these Terms, as between the parties, output generated for you through the Services is Customer Content. Similar output may be generated for other users.
8. API, integrations and browser extension
- API and tokens. Your use of the Greentest API, CI tokens, webhooks and MCP server is subject to these Terms, our documentation and published rate limits. Tokens are credentials: keep them secret, scope them appropriately, and revoke them when no longer needed.
- Connected apps. When you authorize an AI assistant or other application through OAuth, it may access Greentest data within the scopes you approve and act on your behalf. You can revoke access at any time. Your use of that application is governed by its provider's terms.
- Runner. The E2E runner executes on infrastructure you control. You are responsible for securing that infrastructure and the secrets you configure on it.
- Browser extension. The Greentest Recorder extension is licensed to you for use with the Services. It records only when you start a recording or capture, and you are responsible for what you record and upload.
9. Third-party services
The Services interoperate with third-party services, such as Google sign-in, Slack, Microsoft Teams, Mattermost, CI/CD platforms and AI assistants. We do not control and are not responsible for third-party services, and your use of them is governed by their own terms and privacy policies. We may discontinue an integration if the third party changes or stops making its service available on reasonable terms.
10. Fees and payment
- Some Services may be offered free of charge, as a trial, or as a paid subscription. Paid plans, prices, usage limits and billing terms are set out in the applicable order form or pricing page.
- Unless otherwise stated, fees are payable in advance, are non-cancelable and non-refundable except as required by law or expressly stated in an order form, and exclude taxes, which Customer is responsible for (other than taxes on our net income).
- We may suspend paid Services for undisputed amounts more than 30 days past due, after notice. We may change prices for a subsequent renewal term with at least 30 days' notice.
- We may modify or discontinue free plans or trials at any time.
11. Our intellectual property and feedback
The Services, including software, interfaces, designs, documentation, and the Greentest name and logos, are owned by Licklider and its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes during your subscription. All rights not expressly granted are reserved. If you give us feedback or suggestions, we may use them without restriction or obligation to you.
12. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Services ("Confidential Information") with at least reasonable care, will use it only to perform under these Terms, and will disclose it only to employees, contractors and service providers who need to know it and are bound by similar obligations. Customer Content is Customer's Confidential Information. These obligations do not apply to information that is or becomes public through no fault of the recipient, was known to the recipient without restriction, is independently developed, or is rightfully received from a third party. A party may disclose Confidential Information when required by law, after giving reasonable notice where legally permitted.
Personal data. Our Privacy Policy describes how we handle personal information. With respect to personal data contained in Customer Content, Licklider acts as a processor (in Chile, encargado del tratamiento; in the United States, a service provider) on behalf of Customer, which acts as the controller and is responsible for having a lawful basis to process it. If Customer requires a data processing agreement, we will provide one on request at privacy@greentest.ai.
13. Beta and preview features
Features labeled as beta, preview, MVP or experimental are provided "as is" for evaluation, may change or be discontinued at any time, and are excluded from any service-level commitments.
14. Term, suspension and termination
- These Terms apply from your first use of the Services until terminated. You may stop using the Services and close your account at any time; an organization owner may delete the organization.
- We may suspend or terminate access immediately if you materially breach these Terms (including Sections 5 and 6), if required by law, or if your use poses a security risk or could harm the Services, us or others. Where practical, we will give notice and an opportunity to cure.
- Upon termination, your right to use the Services ends. For 30 days after termination of a paid subscription, Customer may request an export of its Customer Content; after that period we may delete it, subject to our backup retention and legal obligations.
- Sections 4 (license for retained data only as needed), 11, 12, 15, 16, 17, 18 and 20 survive termination.
15. Disclaimers
The Services are provided "as is" and "as available." To the maximum extent permitted by law, Licklider disclaims all warranties, express, implied or statutory, including warranties of merchantability, fitness for a particular purpose, title and non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, error-free or secure, that test results, reports or AI output will be accurate or complete, or that the Services will detect every defect in the software you test. You are responsible for your release decisions.
16. Limitation of liability
To the maximum extent permitted by law, in no event will Licklider or its affiliates, officers, employees, agents or suppliers be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunities, arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.
Licklider's total aggregate liability arising out of or related to these Terms or the Services will not exceed the greater of (a) the amounts paid by you to Licklider for the Services in the twelve (12) months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above may not apply to you. The exclusions and limitations in this Section do not apply to damages caused by fraud, willful misconduct (dolo) or gross negligence (culpa grave), or to any other liability that cannot be excluded or limited under applicable law, including articles 44 and 1465 of the Chilean Civil Code.
17. Indemnification
You will defend, indemnify and hold harmless Licklider and its affiliates, officers, employees and agents from and against any third-party claims, damages, losses, liabilities, costs and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Content; (b) requests, tests or runs you direct at any system through the Services; (c) your use of the Services in violation of these Terms or applicable law; or (d) your violation of any third party's rights.
18. Governing law and dispute resolution
- Governing law. These Terms are governed by the laws of the Republic of Chile, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
- Informal resolution. Before filing a claim, each party agrees to try to resolve the dispute informally by sending written notice to the other and negotiating in good faith for at least 30 days. Notices to us should be sent to legal@greentest.ai.
- Venue. Any dispute not resolved informally will be submitted exclusively to the competent courts of Santiago, Chile, and each party submits to their jurisdiction. Either party may seek injunctive relief in any competent court to protect its intellectual property or Confidential Information.
- Class action waiver. To the extent permitted by law, all claims must be brought in a party's individual capacity and not as a plaintiff or class member in any purported class, collective or representative proceeding.
- Time limit. Any claim must be brought within one (1) year after the cause of action arises, unless a longer period is required by law.
19. Changes to these Terms
We may modify these Terms from time to time. If a change is material, we will notify you by email or through the Services at least 30 days before it takes effect, unless the change is required by law or addresses a security issue, in which case it may take effect sooner. Continued use of the Services after the effective date constitutes acceptance. If you do not agree to the changes, you must stop using the Services.
20. General
- Export and sanctions. You will comply with applicable export control and sanctions laws, including those of the United States, and you represent that you are not located in, or a resident or national of, an embargoed country, and are not on a U.S. government restricted-party list.
- U.S. Government users. The Services are "commercial computer software" and are provided to U.S. Government users with only those rights granted to all other users under these Terms.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition or sale of all or substantially all of our assets.
- Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control, other than payment obligations.
- Independent contractors. The parties are independent contractors; nothing creates a partnership, joint venture or agency.
- Notices. We may send notices to the email address associated with your account. Notices to us should be sent to legal@greentest.ai.
- Severability and waiver. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the rest will remain in effect. Failure to enforce a provision is not a waiver.
- Entire agreement. These Terms, the Privacy Policy and any applicable order form are the entire agreement between the parties regarding the Services and supersede all prior agreements on that subject.
- Language. These Terms are published in English and Spanish. For users residing in Chile, the Spanish version prevails in the event of any discrepancy; in all other cases, the English version prevails.
